NSDL Announces Lock-in Period for Pre-IPO Equity Shares

National Securities Depository Ltd. (NSDL) has informed its shareholders that all pre-IPO equity shares will be locked-in starting July 18, ahead of its highly anticipated initial public offering. This lock-in period will prevent any off-market buy or sell transactions under the unlisted category until six months post-listing on stock exchanges. This regulatory measure aligns with norms ensuring stability and compliance during the listing process. NSDL emphasized the necessity for unencumbered equity shares, free from pledging. The entire pre-IPO equity share capital will be locked-in for six months following allotment. To enforce this, NSDL directed both depositories, NSDL and CDSL, to freeze the International Securities Identification Number of its equity shares from Friday. Shareholders are advised against pledging shares during this period to facilitate a smooth and compliant IPO process. The lock-in encompasses the entire pre-IPO share capital, including any leftover portion from the Offer for Sale by selling shareholders. The only exclusion is equity shares transferred during the IPO.
